Terms of Use

1. These Terms

1.1 These Terms of Use (the "Terms") are a contract between you and Blue Rain Labs Inc. ("Blue Rain Labs", "we", "us"), the Ontario corporation that owns and publishes URSA (User Refined Studio Automation). They cover the website at ursaweb.com (the "Site"), your URSA account, and the online services that the Site and the URSA desktop application rely on (together, the "Services").

1.2 You accept these Terms by creating an account, or by using the Site. If you do not accept them, do not create an account or use the Site.

1.3 Three documents work together:

• these Terms cover the Site, your account and the Services;
• the URSA End User Licence Agreement covers the URSA desktop application and its plugins; and
• the URSA Privacy Policy explains how we handle personal information.

If these Terms and the End User Licence Agreement conflict about the desktop application or its plugins, the End User Licence Agreement governs.

1.4 If you use the Services for a company or other organization, you confirm that you have authority to accept these Terms for it. In that case "you" includes that organization.

2. Your account

2.1 Who can have one. You must be at least the age of majority where you live. An account is for one person. Each person who uses URSA needs their own account.

2.2 Your details. Give us accurate information and keep your email address current. We use it to verify the account and to send account and service notices.

2.3 Security. You are responsible for activity under your account. Keep your password private. You can see and end your signed-in sessions, change your password and sign out everywhere from your account page. Tell us promptly if you believe someone else has used your account.

2.4 Sign in with Google. If you sign in with Google, Google's own terms also apply to your Google account.

2.5 Deleting your account. You can delete your account from your account page at any time. Deletion takes effect immediately and ends your access to the desktop application and its plugins.

3. The Services

3.1 What you get. A URSA account is free. It lets you download the URSA desktop application for Windows, sign the application in, and receive the plugins your account is entitled to. Today that is the free Launcher.

3.2 Worldwide, with limits. Accounts are open to people worldwide, except where the law prohibits it. Some features may not be offered in every country. We may make a feature available in some countries before others.

3.3 Changes. We may add, change or remove features of the Site and the Services. Because they are provided free of charge, we may also suspend or discontinue them, in whole or in part. We will try to give reasonable notice by email or on the Site.

3.4 Availability. We work to keep the Services running, but we do not promise that they will be available at any particular time. The status page is for information only. The desktop application needs the Services to sign in and to confirm entitlements, so it may not work while they are unavailable.

4. Acceptable use

4.1 You must not, and must not allow anyone else to:

• create accounts by automated means, or create an account with false details or for someone else without their permission;
• share your account, or sell or transfer it;
• call the Services' programming interface by any means other than the URSA desktop application or the Site;
• copy or collect content or data from the Site or the Services by automated means;
• interfere with the Services, overload them, or try to get around sign-in, entitlement checks or any other protection;
• test the security of the Site or the Services without our written permission;
• upload or send anything harmful, such as malware; or
• use the Site or the Services to break the law or to infringe anyone's rights.

4.2 If you find a security problem, please tell us at support@bluerainlabs.com and give us a reasonable chance to fix it before telling anyone else.

5. Downloads

5.1 The installer for the URSA desktop application is available to signed-in account holders. Download links are for you only and expire shortly after they are created.

5.2 The desktop application and its plugins are licensed under the URSA End User Licence Agreement, which you accept when you install. These Terms do not give you any right to the software.

5.3 Do not pass on a download link, or redistribute the installer or any plugin. Other people can get URSA by creating their own account.

6. Email

6.1 Account email. We send verification, password, security, welcome and service messages, and notices of significant changes to these Terms or the Privacy Policy, to the email address on your account. They are part of the Services and are sent whatever your marketing choice.

6.2 Marketing email. We send email about URSA only if you opt in. You can withdraw that choice at any time on your account page or by writing to us.

7. Ownership

7.1 Blue Rain Labs and its licensors own the Site and the Services and everything on them, including text, design, images and code. URSA, User Refined Studio Automation and the URSA claw mark logo are trademarks of Blue Rain Labs Inc.

7.2 You may view the Site and use the Services for their intended purpose. These Terms give you no other right to our content or our trademarks.

7.3 Feedback. If you send us ideas, suggestions or problem reports, we may use them without restriction and without payment to you.

8. Other companies' products and sites

8.1 The Site names content creation software from other companies that URSA can start. Those products are not ours. Their names belong to their owners, and we are not affiliated with or endorsed by them.

8.2 The Site may link to other websites. We do not control them and are not responsible for their content or their terms.

9. Suspension and ending

9.1 By you. You may stop using the Services at any time and delete your account from your account page.

9.2 By us. We may suspend or close your account, or limit your access to the Services, if you breach these Terms or the End User Licence Agreement, if the law requires it, or to protect the security of the Services or other users. We will give notice where reasonably possible.

9.3 What happens then. When your account is closed, your access to the Services ends and the desktop application and its plugins stop working for that account.

9.4 Sections 7, 10, 11, 12, 14 and 15 continue after these Terms end.

10. Disclaimer of warranties

10.1 The Site and the Services are provided "as is" and "as available". To the fullest extent the law allows, Blue Rain Labs disclaims all warranties, representations and conditions, whether express, implied or statutory, including merchantable quality, fitness for a particular purpose, title and non-infringement.

10.2 We do not warrant that the Site or the Services will be uninterrupted, error-free or secure, or that the information on the Site is complete or current.

10.3 Some laws do not allow these exclusions for consumers. Where that is the case, they apply only as far as the law permits, and nothing in these Terms removes rights you cannot waive.

11. Limitation of liability

11.1 To the fullest extent the law allows, Blue Rain Labs is not liable for any indirect, incidental, special, consequential, punitive or exemplary damages, or for loss of profits, revenue, data, business, goodwill or production time.

11.2 Blue Rain Labs' total liability for all claims connected with the Site, the Services, the URSA software, these Terms and the End User Licence Agreement together is limited to the greater of (a) the amount you paid us for URSA in the 12 months before the claim arose and (b) CAD $100.

11.3 These limits apply to every kind of claim, including contract, negligence and other torts, and statute, even if we were told the damage was possible. They also protect our directors, officers, employees, contractors and licensors.

11.4 These limits do not apply to liability that the law does not allow us to limit, such as liability for fraud, or for death or personal injury caused by negligence where the law of your country says so.

12. Indemnity

12.1 If you use the Services for a business or other organization, you will indemnify Blue Rain Labs against third-party claims, and the related losses and reasonable legal costs, that arise from your breach of these Terms or your misuse of the Services.

13. Changes to these Terms

13.1 We may update these Terms. Each version shows its version number and effective date, and we keep a copy of every version.

13.2 For a significant change we will post a notice on the Site and email account holders at least 30 days before it takes effect. If you do not agree, you may delete your account before then.

13.3 Where the law permits, continuing to use the Services after a new version takes effect means you accept it.

14. Governing law and disputes

14.1 These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict of law rules.

14.2 The courts located in Toronto, Ontario have exclusive jurisdiction over any dispute, and you and we submit to those courts.

14.3 If you are a consumer and the law where you live gives you rights that cannot be waived, including a right to bring a claim in your local courts, nothing in this section removes them.

14.4 Please contact us first. Most problems can be resolved faster that way.

15. General

• Entire agreement. These Terms, the End User Licence Agreement and the Privacy Policy are the whole agreement between you and us about URSA.
• Severability. If a court finds part of these Terms unenforceable, the rest stays in effect.
• No waiver. If we do not enforce a term, we have not given up the right to enforce it later.
• Assignment. You may not transfer these Terms or your account. We may transfer these Terms to an affiliate or to a successor to the URSA business.
• Notices. We may send notices to the email address on your account or post them on the Site. Send notices to us at the address in Section 16.
• Events beyond our control. We are not liable for a failure or delay caused by events outside our reasonable control.
• Export and sanctions. You must follow the export control and sanctions laws that apply to you. You must not use the Services where the law prohibits it.
• Language. The parties have asked that these Terms and all related documents be written in English. Les parties ont demandé que les présentes conditions et tous les documents qui s'y rattachent soient rédigés en anglais.
